This Affiliate Program Operating Agreement (“Agreement”) sets out the terms and conditions for participation in the Talk Dirty Co Affiliate Program (“Program”).
In this Agreement, “Talk Dirty Co”, “we”, “us” and “our” refer to the business operating the Talk Dirty Co brand and online store. “Affiliate”, “you” and “your” refer to the person or business accepted into the Program.
By applying to, joining or participating in the Program, you agree to these terms.
1. The Program
The Talk Dirty Co Affiliate Program allows approved affiliates to earn commission by referring customers to Talk Dirty Co through an approved affiliate link, discount code or other tracking method provided through our affiliate platform.
We created this Program to work with customers, creators and community members who genuinely align with Talk Dirty Co and want to share our products with their audience.
Participation in the Program is subject to approval by Talk Dirty Co.
2. Eligibility and Approval
To participate, you must submit accurate and complete information during registration.
We may accept or decline an application at our discretion. We may consider factors including brand alignment, content quality, audience relevance, engagement, previous experience with Talk Dirty Co products and the way an applicant communicates with their community.
Applicants must be legally capable of entering into this Agreement. If you are under 18 years of age, you must have the permission of a parent or legal guardian and provide any information reasonably requested by us before participating.
Acceptance into the Program does not guarantee earnings, gifted products, paid collaborations or any minimum level of work from Talk Dirty Co.
3. Affiliate Commission
Unless otherwise agreed with an individual Affiliate in writing, the standard commission rate is 10% of the eligible net product value of a qualifying referred sale.
Commission is calculated after applicable discounts and excludes shipping charges and taxes.
Different commission rates, bonuses or incentives may occasionally be offered to individual Affiliates or as part of a promotion or performance tier. Any such arrangement will apply only where communicated by Talk Dirty Co.
Commission rates may be changed in accordance with Section 16 of this Agreement.
4. Qualifying Sales and Attribution
A qualifying sale occurs when:
- a customer uses your valid affiliate link or assigned affiliate discount code;
- the order is successfully placed and paid;
- the sale is correctly tracked by our affiliate platform; and
- the order is not cancelled, refunded, fraudulent or otherwise ineligible under this Agreement.
Affiliate-link tracking has a 30-day attribution period from the customer's qualifying click, subject to the technical tracking capabilities and attribution rules of the affiliate platform.
Where a customer later interacts with another affiliate link or code, attribution may be determined by the tracking rules of the affiliate platform.
Talk Dirty Co is not responsible for commission that cannot be attributed because of deleted or blocked cookies, browser privacy settings, incorrect links, technical limitations outside our reasonable control or a customer's failure to use an Affiliate's code or link.
5. Affiliate Customer Discount
Approved Affiliates may receive a unique customer discount code.
Unless otherwise stated, the standard affiliate customer offer is:
10% off an eligible new customer's first one-time purchase.
The discount:
- is for eligible new customers only;
- may be used once per eligible customer;
- applies to eligible one-time purchases only;
- does not apply to subscription orders unless expressly stated;
- cannot be combined with other discount codes or offers unless Talk Dirty Co expressly allows it; and
- may be changed, suspended or withdrawn by Talk Dirty Co.
Affiliate codes must not be used by the Affiliate for personal purchases.
6. Self-Referrals and Misuse
Affiliates may not earn commission on their own purchases.
You must not:
- place an order through your own affiliate link or code to earn commission;
- arrange artificial or fraudulent transactions;
- create multiple customer accounts to misuse new-customer discounts;
- purchase products on behalf of another person for the primary purpose of generating commission;
- misrepresent the source of a referral;
- use bots, automated traffic, misleading redirects or other artificial methods to generate clicks or sales; or
- engage in any other conduct intended to manipulate tracking, discounts or commissions.
Talk Dirty Co may investigate suspicious activity and may cancel or reverse commission connected with suspected misuse or fraud.
7. Returns, Refunds and Cancelled Orders
Commission is not payable on orders that are cancelled, refunded, charged back or identified as fraudulent.
If commission has already been credited for an order that later becomes ineligible, Talk Dirty Co may reverse that commission or deduct the amount from future commission earnings.
For partially refunded orders, commission may be adjusted proportionately to reflect the final eligible value of the sale.
8. Payments
Eligible commission payments are processed monthly.
The minimum payout balance is AUD $25.
If an Affiliate's approved commission balance is below AUD $25 at the time of a payment cycle, the balance will carry forward until the minimum payout threshold is reached.
Payments will be made using the payment methods made available through the Program. Affiliates are responsible for providing complete and accurate payment information.
Talk Dirty Co is not responsible for delays or failed payments caused by incorrect payment information supplied by an Affiliate.
Affiliates are responsible for their own tax, reporting, invoicing and other financial obligations arising from commission income. Nothing in this Agreement constitutes tax advice.
9. Advertising Disclosure and Transparency
Affiliates must clearly disclose their commercial relationship with Talk Dirty Co whenever content includes an affiliate link, affiliate discount code, commission arrangement, paid promotion or other material benefit.
Disclosure must be clear, prominent and easy for an ordinary viewer to understand.
Depending on the content and platform, appropriate disclosure may include terms such as Ad, Sponsored, Paid Partnership, or a clear statement that the Affiliate earns commission from purchases made through their link or code.
Disclosures must not be hidden among hashtags, placed where viewers are unlikely to see them or expressed using vague wording that does not clearly communicate the commercial relationship.
Affiliates must comply with applicable laws, regulations, advertising standards and platform rules.
10. Honest Product Claims
We want Affiliates to speak in their own voice and share their genuine experience.
However, all statements about Talk Dirty Co and its products must be truthful, accurate and not misleading.
Affiliates must not:
- make medical or therapeutic claims;
- claim that a product treats, prevents or cures a medical condition;
- guarantee results that cannot be substantiated;
- make inaccurate claims about ingredients, safety, environmental impact or product performance;
- make false comparisons with competing products;
- misrepresent personal experience with a product; or
- use wording or claims that Talk Dirty Co has specifically asked the Affiliate to stop using.
If you are unsure whether a product claim is appropriate, please contact Talk Dirty Co before publishing it.
Talk Dirty Co may provide approved product information, key messages and content guidance to help Affiliates communicate accurately.
11. Content and Brand Use
Affiliates may use Talk Dirty Co-approved logos, product images, videos and other creative materials made available through the Affiliate portal solely for the purpose of promoting Talk Dirty Co while participating in the Program.
You may also create your own original content featuring Talk Dirty Co products.
You must not:
- alter our logo in a misleading or damaging way;
- impersonate Talk Dirty Co or create an account that could reasonably be mistaken for an official Talk Dirty Co account;
- register a domain name, social-media username or business name that uses or closely imitates the Talk Dirty Co name or trademarks;
- represent yourself as an employee, owner or official representative of Talk Dirty Co; or
- use our intellectual property for unrelated commercial purposes without written permission.
All ownership of the Talk Dirty Co name, trademarks, logos, packaging designs and other brand assets remains with Talk Dirty Co or their respective rights holders.
12. Affiliate Content
You retain ownership of the original content you create.
If Talk Dirty Co wishes to repost Affiliate content organically on its own social-media channels, we may request permission or use available platform-native sharing functions where appropriate.
Use of Affiliate-created content in paid advertising, website advertising or other material commercial campaigns will be subject to separate permission or agreement where required.
Participation in the Affiliate Program does not automatically grant Talk Dirty Co unrestricted ownership of an Affiliate's original content.
13. Prohibited Promotion Methods
Unless Talk Dirty Co gives prior written permission, Affiliates must not:
- run paid search advertisements using the Talk Dirty Co name, trademarks or confusingly similar terms;
- run advertisements that impersonate Talk Dirty Co;
- list affiliate codes on coupon, discount, voucher or deal-aggregation websites;
- distribute codes through spam or unsolicited bulk messaging;
- use misleading clickbait or false claims to generate referrals;
- promote Talk Dirty Co in illegal, discriminatory, defamatory, hateful, violent or sexually explicit content; or
- engage in conduct that could reasonably damage the reputation of Talk Dirty Co.
Organic social-media content, genuine recommendations, blogs, newsletters, direct sharing with interested friends or community members and other genuine promotional activity are permitted, subject to this Agreement.
14. No Exclusivity
Participation in the Program is non-exclusive unless a separate written agreement states otherwise.
Affiliates may work with or promote other brands.
However, Affiliates must not falsely represent Talk Dirty Co products or use confidential information obtained from Talk Dirty Co to benefit another business.
15. Independent Relationship
Affiliates participate in the Program as independent participants.
Nothing in this Agreement creates an employment relationship, partnership, joint venture, franchise or agency relationship between the Affiliate and Talk Dirty Co.
Affiliates have no authority to enter into agreements, make commitments or accept obligations on behalf of Talk Dirty Co.
16. Changes to the Program
Talk Dirty Co may update the Program, including commission rates, discount structures, eligibility requirements, payment arrangements or these terms.
Where a change materially affects existing Affiliates, we will provide reasonable notice through email, the Affiliate portal or another appropriate communication method.
Continued participation in the Program after an updated Agreement takes effect constitutes acceptance of the updated terms.
Changes will not retrospectively remove commission already validly earned on eligible sales before the effective date of a change.
17. Suspension and Termination
Either the Affiliate or Talk Dirty Co may end participation in the Program at any time.
Talk Dirty Co may immediately suspend or terminate an Affiliate account where we reasonably believe there has been:
- fraud or attempted fraud;
- self-referral abuse;
- discount-code misuse;
- false or misleading advertising;
- failure to disclose the affiliate relationship;
- unauthorised use of Talk Dirty Co intellectual property;
- activity that materially harms or risks harming the Talk Dirty Co brand or community; or
- a material breach of this Agreement.
Following termination, valid approved commission earned before termination will remain payable subject to the terms of this Agreement. Fraudulent, reversed or otherwise ineligible commission will not be paid.
Upon termination, the Affiliate must stop representing themselves as a current Talk Dirty Co Affiliate and cease using brand materials where continued use would imply an ongoing relationship.
18. Confidential Information
From time to time, Talk Dirty Co may share non-public information with Affiliates, including upcoming campaigns, unreleased products, launch dates, promotional plans or other confidential business information.
Where information is identified as confidential, embargoed or not yet public, the Affiliate must not disclose or publish it until authorised by Talk Dirty Co.
19. Program Availability and Limitation
We will take reasonable steps to maintain the Program and accurate affiliate tracking, but we do not guarantee that the Affiliate portal, tracking technology or online store will always operate without interruption or error.
To the extent permitted by law, Talk Dirty Co is not responsible for indirect or consequential losses arising solely from technical tracking failures, platform outages or circumstances beyond our reasonable control.
Nothing in this Agreement excludes rights or remedies that cannot lawfully be excluded under applicable law.
20. Governing Law
This Agreement is governed by the laws applicable in South Australia, Australia.
The parties submit to the jurisdiction of the courts of South Australia and any courts competent to hear appeals from those courts.

22. Acceptance
By submitting an application, accepting these terms or continuing to participate in the Talk Dirty Co Affiliate Program, you confirm that you have read, understood and agree to this Agreement.
